Terms of Use
These Terms of Service (“Terms”) outline the conditions under which you may access and utilize the websites operated by Jento Solutions Inc., including jentosolutions.com and associated subdomains, as well as the Jento Solutions Inc. mobile applications (collectively referred to as the “Platform”). They also govern any services made available through the Platform, such as support and other related offerings (collectively, the “Services”). By using our Platform, you are entering into a legally binding agreement with Jento Solutions Incorporated and its affiliates (“we,” “us,” or “Jento Solutions”).
The terms “User” and “Users” encompass all individuals and entities accessing or using the Services, including organizations or businesses that create accounts or engage with the Services through their representatives.
Jento Solutions provides a digital platform that connects third-party clients (“Clients”) with independent professionals (“Professionals”). Clients may list open shifts at their respective facilities (“Facilities”), and Professionals can review and choose shifts that align with their availability and preferences.
By creating an account with Jento Solutions or utilizing the Platform or Services in any capacity (whether or not you register formally), you confirm that you have read, understood, and agree to adhere to these Terms.
If you are accepting these Terms on behalf of an organization or company, you represent and warrant that you have the legal authority to bind the organization to these Terms. In such cases, “you” and “your” will apply to both the individual and the represented organization.
By accessing or using our Platform and Services, you consent to the collection, handling, and sharing of your personal information as described in Jento Solutions’ Privacy Policy, which is integrated into these Terms by reference. Additionally, you agree to comply with any supplementary Marketplace Terms or specific guidelines applicable to Users, as published on the Platform. Certain functionalities of the Services may be subject to additional terms, which are also considered part of these Terms.
If you do not agree with any part of these Terms or are unable to comply, you must refrain from using the Platform and Services.
Modifications to Terms
We reserve the right to update or revise these Terms at any time by publishing the updated version on the Platform. When changes are implemented, we will display the revised Terms on this webpage and indicate the date of the latest update at the top. For significant changes, we may notify you via the email address associated with your account and/or by posting a notification on the Platform. Your continued use of the Platform or Services following the effective date of any changes (“Effective Date”) signifies your acceptance of the revised Terms.
1. JENTO ACCOUNTS
1.a Registration and Agreement
By signing up for an account to use the Platform and Services (an “Account”), by utilizing the Platform or Services after the Effective Date if you already hold an Account, or by agreeing to the Terms when prompted, you consent to these Terms.
To gain access to certain features of the Platform and Services, you must register for an Account. Certain areas of the Platform may be accessible to visitors (“Site Visitors”) before an Account is established, subject to the terms of use for the Platform. We retain the right to reject any account registration for legitimate reasons, including but not limited to business needs, resource allocation, or operational considerations.
1.b Account Eligibility
Jento Solutions provides the Platform and Services exclusively for business purposes and not for personal, household, or consumer use. By registering for an Account, you represent and warrant that: (a) you will use the Platform and Services solely for business purposes; (b) you are either a legal entity or an individual who is at least 18 years old (or of legal age in your jurisdiction) and capable of entering into legally binding agreements; (c) you have not been previously banned or removed from the Platform or Services, nor engaged in conduct that could lead to suspension or removal; and (d) you possess full authority to agree to these Terms without breaching any other agreements.
1.c Account Profile
To register or update your Account to use the Platform and Services, you must create a User profile (“Profile”), which other Users may view. You agree to provide accurate, truthful, and complete information in your Profile and all registration forms, and to keep this information current. You must not provide false or misleading details regarding your identity, location, business, or the services your business offers, and you agree to correct any such inaccuracies promptly.
1.d Identity and Account Verification
When you register for an Account and periodically thereafter, Jento Solutions may verify your Account by validating it against third-party databases or reviewing official documents to confirm your identity, location, and authority to act on behalf of your business. You authorize Jento Solutions, directly or through third parties, to perform necessary checks to verify your identity and ownership of contact information or financial accounts. You agree to provide complete and accurate information, including official documents, upon request. Account features may be limited during the verification process, and full access will be restored once verification is successfully completed.
1.e Usernames and Passwords
When creating an Account, you must establish a username and password. You are solely responsible for maintaining the confidentiality of these credentials. Sharing your username or password with unauthorized individuals is prohibited, and businesses must ensure only authorized personnel have access. Jento Solutions assumes that any activity conducted with your username and password is performed by you or an authorized party. Notify us immediately if you suspect unauthorized access to your Account or password. You must not use another User’s credentials unless explicitly authorized.
2. RELATIONSHIP BETWEEN JENTO SOLUTIONS AND USERS
2.a Role of Jento Solutions as a Platform
Jento Solutions operates as a digital platform, enabling Professionals and Clients to connect and conduct transactions directly. Jento Solutions does not introduce Professionals to Clients, assign shifts, or select Professionals on behalf of Clients. Users independently decide which shifts to post or accept, and they are solely responsible for evaluating suitability. Jento Solutions is not liable for any shifts not facilitated or confirmed through the Platform.
2.b Users Are Independent
All Professionals using the Platform are independent contractors and are not employees of Jento Solutions. These Terms do not create a partnership, joint venture, or employer-employee relationship between Jento Solutions and any User. Professionals and Clients act on their own behalf and are fully responsible for their decisions and interactions on the Platform. Clients have complete discretion over their postings, and their actions do not impact the independent contractor relationship between Jento Solutions and Professionals.
3. PAYMENT METHODS
To use certain Services, you must provide valid payment information. You authorize Jento Solutions to process transactions using the provided payment method, store financial details securely, and charge any applicable fees. Jento Solutions may use third-party vendors to process payments, ensuring compliance with applicable regulations.
By providing payment details, you confirm that you are legally authorized to use the selected payment method and that sufficient funds or credit are available. If payment fails, you remain responsible for settling any outstanding amounts through alternative means.
Jento Solutions is not responsible for failed transactions resulting from financial institution limits or compliance restrictions. If your payment is declined or cannot be processed, Jento Solutions is not liable for any resulting fees or penalties.
4. USER CONDUCT
By using the Platform or Services, you agree to abide by the following rules of conduct:
(a) Use the Platform and Services only for lawful purposes and in compliance with all applicable laws, including intellectual property laws and privacy regulations.
(b) Do not impersonate another person or entity or use another User’s credentials.
(c) Avoid causing disruption, annoyance, or harm to other Users or to Jento Solutions’ operations.
(d) Provide accurate and truthful information during registration and keep your information up to date.
(e) Protect your login credentials and notify Jento Solutions immediately if unauthorized access is suspected.
(f) Refrain from abusive, harassing, or discriminatory behavior, and report any violations to Jento Solutions.
(g) Do not misuse promotional offers, duplicate accounts, or engage in fraudulent activities.
(h) Access the Platform only through authorized means and avoid manipulating or interfering with its functionality.
(i) Refrain from using automated tools to extract data or circumvent security features.
(j) Respect intellectual property rights and avoid distributing unauthorized copies of content or software.
5. SAFETY AND SUPERVISION
(a) You agree to conduct yourself on Jento Solutions’ marketplace and during any shift booked through the Platform in accordance with all applicable laws, regulations, and professional standards, including safety guidelines such as medication administration, documentation, infection control, and other workplace policies.
(b) Professionals agree to adhere to Clients’ policies and protocols. Clients are responsible for providing and enforcing these policies and ensuring Professionals are informed upon arrival.
(c) Jento Solutions does not supervise or evaluate Professionals’ performance. Clients are solely responsible for managing and assessing the Professionals’ work in accordance with their standards.
6. CANCELLATIONS
Users are expected to adhere to Jento Solutions’ cancellation policies. Repeated cancellations or no-shows may result in restrictions, suspension, or permanent deactivation of your Account. Ensure timely communication and adherence to commitments to maintain platform reliability.
7. DO NOT RETURN POLICY (DNR)
Users have the option to add other Users to a “Do Not Return” (DNR) list within their Account settings if they prefer not to engage with specific Users in the future. DNRs must comply with platform guidelines. Repeated DNR entries against your Account may result in reviews, restrictions, or termination.
8. TERMINATION
Except to the extent that you and Jento Solutions Inc have otherwise agreed in writing, either party may terminate these Terms of Service at their sole discretion, at any time, without explanation, upon written notice to the other, except as otherwise provided herein. In the event you properly terminate these Terms of Service, your right to use the Site and Services will be automatically revoked, and your Account will be permanently deactivated. You understand and acknowledge that termination of these Terms of Service (or an attempt to terminate these Terms of Service) does not terminate or otherwise impact any obligation to pay outstanding fees. You will remain obligated to pay any amounts accrued but unpaid as of the date of termination or as of the closure of any open invoice, whichever is later, to Jento Solutions Inc for any Services or other amounts owed under the Terms of Service.
Without limiting Jento Solutions Inc’s other rights or remedies, we may, but are not obligated to, temporarily or indefinitely revoke or limit your access to the Site or Services, deny your registration, or permanently revoke your access to the Site and refuse to provide any or all Services to you if: (i) you breach the letter or spirit of any terms and conditions of these Terms of Service or any other provisions of the Terms of Service; (ii) we suspect or become aware that you have provided false or misleading information to us; (iii) we believe, in our sole discretion, that your actions may cause legal liability for you, our Users, Jento Solutions Inc, or our affiliates; may be contrary to the interests of the Site or the User community; or may involve illicit or illegal activity; or (iv) we are required to do so by law, legal process, or law enforcement. If your Account is deactivated, you may not use the Site under the same Account, a different Account, or re-register under a new Account without Jento Solutions Inc’s prior written consent. If you attempt to use the Site under a different Account, we reserve the right to reclaim available funds in that Account and/or use an available payment method to settle any amounts owed by you to the extent permitted by applicable law.
You acknowledge and agree that the value, reputation, and goodwill of the Site depend on transparency regarding a User’s Account status to all Users, including both yourself and other Users.
9. SURVIVAL
Upon termination of these Terms of Service, any provisions that expressly or by their nature are intended to remain in effect will survive and continue in full force. Termination of these Terms of Service, for any reason, does not release you or Jento Solutions from obligations incurred prior to termination or any liabilities that may arise from actions or omissions occurring before termination.
10. DISPUTES BETWEEN YOU AND JENTO SOLUTIONS
The dispute resolution process applicable to you is outlined in the agreement with Jento Solutions that you accepted when creating your account to access its marketplace.
11. ENTIRE AGREEMENT
These Terms of Service constitute the entire agreement between you and Jento Solutions regarding the subject matter herein and supersede any prior or contemporaneous discussions, agreements, representations, warranties, or communications, whether written or oral. However, these Terms of Service do not override, amend, or modify any separate agreements between you and Jento Solutions related to services provided or obtained through its marketplace, including but not limited to any Independent Contractor Agreement (ICA) or Master Agreement (MAA).
Section headings are included for convenience only and have no legal effect. Although Jento Solutions drafted these Terms of Service, you acknowledge that you had ample opportunity to review and decide whether to agree to them. If any ambiguity arises, no presumption or burden of proof will favor or disadvantage either party based on authorship.
12. MODIFICATIONS; WAIVER
No modifications or amendments to these Terms of Service will be binding unless agreed to in writing by a duly authorized representative of Jento Solutions or officially posted on the Site. Email correspondence will not constitute a valid amendment under this section. Failure to act in response to a breach by you or others does not waive Jento Solutions’ right to take action against future or similar breaches. Jento Solutions does not guarantee enforcement against all violations of these Terms of Service.
13. ASSIGNABILITY
You may not assign these Terms of Service or any of your rights or obligations under them without prior written consent from Jento Solutions, granted through a signed written document from an authorized representative. Jento Solutions may freely assign these Terms of Service without your consent. Any attempted assignment in violation of this provision will be considered null and void.
Subject to these conditions, these Terms of Service will be binding upon and benefit the successors, heirs, and permitted assigns of both parties.
14. COMMUNICATING THROUGH THE SITE OR THE SERVICES
The provisions of this section apply to all interactions between Users via the Site or Services. Users agree to use the communication tools available on the Site to engage with each other regarding their professional interactions, including rate negotiations, discussion of terms, arrival details, pre-work requirements, and coordination during shifts.
Users are strictly prohibited from using the communication services to post or transmit any unlawful, threatening, libelous, defamatory, obscene, pornographic, illegal, or otherwise inappropriate material that could constitute a criminal offense, infringe on the rights of any party, or violate any laws or regulations.
Jento Solutions reserves the right, but is not obligated, to remove any content, messages, or transmissions that violate these Terms of Service, as determined at our sole discretion. Additionally, we may suspend or permanently deactivate any Account if we determine, at our sole discretion, that a User has violated these Terms of Service.
15. LIMITATION OF LIABILITY
Except to the extent that you and Jento Solutions Inc have otherwise agreed in writing, Jento Solutions Inc is not liable, and you agree not to hold us responsible, for any damages or losses arising out of or in connection with the Terms of Service, including, but not limited to:

Your use of or inability to use our Site or Services;

Delays or disruptions in our Site or Services;

Viruses or other malicious software obtained by accessing or linking to our Site or Services;

Glitches, bugs, errors, or inaccuracies of any kind in our Site or Services;

Damage to your hardware or device resulting from your use of the Site or Services;

The content, actions, or inactions of third parties using the Site or Services;

Reviews, ratings, suspensions, deactivations, or other actions taken with respect to your Account;

Your reliance on the quality, accuracy, or reliability of posted shifts, User Profiles, ratings, recommendations, feedback (including their content, order, and display), composite information, or metrics found on, used on, or made available through the Site; and
-
Your need to modify practices, content, or behavior, or any loss of or inability to conduct business, due to changes to the Terms of Service.
Furthermore, under no circumstances will Jento Solutions Inc, its affiliates, licensors, or third-party service providers be liable for any special, consequential, incidental, punitive, exemplary, or indirect costs or damages, including but not limited to litigation costs, installation and removal costs, or loss of data, production, profit, or business opportunities.
These limitations apply to any liability arising from any cause of action connected to these Terms of Service, whether in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages and even if the limited remedies provided fail of their essential purpose.
Certain jurisdictions do not allow for some or all of the above exclusions and limitations, so some or all of these limitations may not apply to you.
16. WARRANTY DISCLAIMER
Except as otherwise agreed in writing, you acknowledge that reliance on the Site, the Services, any information available on the Site, or the continued availability of the Site is at your own risk. The Site and Services are provided on an “as is” and “as available” basis.
Jento Solutions makes no representations or warranties regarding the Site, the Services, any work product, textual, audio, or visual content, submission of entries for competitions or promotions, or any other activities or items related to these Terms of Service. To the fullest extent permitted by law, Jento Solutions disclaims all express and implied warranties, including but not limited to warranties of merchantability, accuracy, fitness for a particular purpose, title, and non-infringement.
Certain jurisdictions may not permit the exclusion of certain warranties, so some limitations may not apply to you. Section 8 (Termination) outlines your sole and exclusive remedy regarding any defects, non-conformities, or dissatisfaction with the Site or Services.
17. SEVERABILITY; INTERPRETATION
If any provision of these Terms of Service is found to be illegal, invalid, or unenforceable under applicable law, it will be ineffective only in that jurisdiction and only to the extent of its illegality, invalidity, or un enforceability. The provision will be modified as necessary to conform with the law while preserving its intent to the greatest extent possible. The legality, validity, or enforceability of the remaining provisions will not be affected.
18. FORCE MAJEURE
Neither party will be held responsible for any failure or delay in performance of any obligations under these Terms of Service due to causes beyond their reasonable control. Such causes include, but are not limited to, labor disturbances, accidents, fires, floods, telecommunications or internet failures, strikes, wars, riots, rebellions, blockades, acts of government, regulatory changes, or any other unforeseen events that make performance impractical.
19. PREVAILING LANGUAGE AND LOCATION
The English language version of these Terms of Service will govern in all respects and will take precedence in the event of any discrepancies with translated versions, if available.
20. CONSENT TO USE ELECTRONIC RECORDS
By using the Site and Services, you agree that Jento Solutions may provide certain records, including contracts, notices, and communications, electronically instead of in paper form. This consent facilitates the efficient use of the Site and Services.
